1. Services

prnvp&co ("we", "us", or "our") provides IT consulting, software development, and digital transformation services. By engaging our services, you agree to these Terms.

2. Project Scope & Deliverables

Specific services and deliverables will be defined in a separate Statement of Work (SOW) or Agreement signed by both parties. In the event of a conflict between these Terms and a specific SOW, the SOW shall control.

3. Payment Terms

Invoices are due upon receipt unless otherwise specified in the SOW. Late payments may incur interest. We reserve the right to suspend services for non-payment.

4. Intellectual Property

Unless otherwise agreed, intellectual property rights for custom software developed specifically for the client shall transfer to the client upon full payment. We retain rights to our background technology, frameworks, and pre-existing IP.

5. Confidentiality

We agree to keep all client information confidential and use it only for the purpose of providing services. Likewise, the client agrees to keep our proprietary methodologies and pricing confidential.

6. Limitation of Liability

To the maximum extent permitted by law, prnvp&co shall not be liable for any indirect, incidental, or consequential damages. Our total liability shall be limited to the fees paid by the client in the 12 months preceding the claim.

7. Governing Law

These Terms shall be governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Gurgaon, Haryana.
